Bits and Stripes stands for honest and transparent business practices. We do not use endless documents with small-print terms and conditions.

In the interest of maintaining a good relationship, we like to agree on the following:

Our Services

The services we provide consist of consulting. We have a strong IT background, but no medical training. Therefore, all ultimate responsibility in this regard remains with the client.

We provide advice on system architecture, databases, and integrations with other systems, but it remains the responsibility of the client’s IT department to validate everything and manage daily operations (backups, security, etc.).

We are only liable in cases of intentional misconduct or gross negligence, and only up to the amount of the relevant assignment.

Quotes and Assignments

Our quotes are non-binding. An assignment is considered confirmed once the client provides written confirmation. A quotation is valid for 30 days. 

All prices stated in the quotations are exclusive of VAT.

We do our best to meet deadlines, but these are always indicative. Under circumstances beyond our control, such as illness or technical issues, execution may be delayed.

Any costs incurred due to changes or cancellations of assignments will be charged.

To properly execute an assignment, we need timely access to information, systems, and resources.

Licenses and Software

We assume that the client holds the necessary licenses for the software and its components used (for example, SQL queries from the database), where applicable. The client will always be informed of any use of special licenses.

All intellectual property rights in software developed by Bits and Stripes remain our property unless otherwise agreed in writing. The client is granted a non-exclusive, non-transferable right to use the software for the purpose of the assignment.

Confidentiality and Privacy

Bits and Stripes guarantees strict confidentiality regarding both business information and medical information accessed during the assignment. Conversely, we expect that any knowledge shared by us will not be disclosed to third parties without consultation. If desired, this can be further formalized in an NDA.

Bits and Stripes stores only client information (names of contacts, their email addresses, and phone numbers) for the purpose of executing the agreed assignments and handling their administrative follow-up.

Payment

Our invoices are payable within 30 days.

For long-term projects, billing can be done monthly or per completed task.

For a small business, timely payment is essential. In the event of late payment, from the due date onwards, statutory interest is automatically due, without notice, increased by 5% of the amount owed.

Any hardware or software delivered during the execution of an assignment remains the property of Bits and Stripes until fully paid.

Disputes

Our agreements are governed by Belgian law.

In the event of a dispute, we will make every effort to resolve the conflict amicably. If this is not possible, only the courts of the judicial district of Ghent shall have jurisdiction.
